IF, NOTWITHSTANDING THE FOREGOING LIMITATIONS, APEX IS FOUND LIABLE TO YOU FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE SITE, APEX’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

8. Governing Law, Jurisdiction & Dispute Resolution

These Terms and all disputes arising out of or related to your use of the Site shall be governed by, construed, and enforced in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Site shall be instituted exclusively in the state or federal courts located in the County of Los Angeles, California. You expressly consent to the personal jurisdiction and venue of such courts and waive any defense of inconvenient forum (forum non conveniens).

9. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, invalid, void, or for any reason unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
